Beta Terms

These Beta Terms (“Beta Terms”) form part of the Agreement and are incorporated into the applicable Parcel Perform terms and conditions governing the Customer’s use of the Services (the “Terms”). Capitalized terms not defined herein have the meaning given in the Terms.
1. Definition
“Beta Feature(s)” means any product, service, feature, functionality, API, integration, AI feature, model, workflow, or other capability made available by Parcel Perform that is designated as beta, pilot, early access, preview, experimental, pre-general availability, or similar, whether provided free of charge or for a fee.
2. Applicability and precedence
2.1 Except as expressly modified by these Beta Terms, the Terms apply to Beta Features.
2.2 In the event of any conflict, these Beta Terms prevail with respect to Beta Features.
3. Purpose and eligibility
3.1 Beta Features are provided solely for evaluation, testing, and feedback purposes.
3.2 Parcel Perform may impose additional eligibility criteria, technical limitations, usage restrictions, or participation requirements for Beta Features, as notified from time to time.
4. As-is basis; assumption of risk; no support
4.1 As is / as available. Beta Features are provided on an “as is” and “as available” basis, may be incomplete, and may contain defects, errors, inaccuracies, or interruptions.
4.2 Assumption of risk. The Customer assumes all risks and costs associated with the use of Beta Features, including (without limitation) costs relating to backups, data reconstruction, operational disruption, workarounds, reprocessing, or reliance failures.
4.3 No support or service levels. Parcel Perform has no obligation to provide maintenance, technical support, service levels, uptime commitments, response times, or roadmap commitments for Beta Features unless expressly agreed in writing.
5. Non-production use; no reliance; backups
5.1 Unless expressly agreed otherwise in writing, Beta Features are not intended for production use, business-critical processes, or regulatory-relevant decisions.
5.2 The Customer shall not rely on Beta Features as the sole basis for operational, financial, legal, compliance, or customer-facing decisions.
5.3 The Customer is solely responsible for maintaining appropriate backups, contingency plans, and safeguards prior to and during the use of Beta Features.
6. Fees
Parcel Perform may offer Beta Features free of charge or may charge fees for access and use. Any applicable fees will be communicated in writing or set out in the applicable Order Form or commercial offer.
7. Feedback and monitoring
7.1 The Customer may provide feedback, suggestions, or evaluations regarding Beta Features (“Feedback”). Any such Feedback is subject to the feedback provisions in the Terms.
7.2 Parcel Perform may monitor the Customer’s use of Beta Features and collect usage, performance, and diagnostic information relating to such use. Any information used by Parcel Perform for the purpose of developing, improving, or discontinuing Beta Features or other Services will be used only in anonymized and aggregated form and will not identify the Customer, its Authorized Users, or any individual, except to the extent necessary to provide, secure, or support the Beta Features or as otherwise permitted under the Terms and applicable data protection laws.
8. Modification, discontinuation, and duration
8.1 Parcel Perform may modify, suspend, limit, or discontinue Beta Features at any time, with or without notice, and without liability, subject to mandatory law.
8.2 These Beta Terms apply to a Beta Feature until the earlier of: (a) its general availability release, or (b) its discontinuation.
9. Warranty exclusions specific to Beta Features
9.1 Any representations or warranties in the Terms regarding professional performance, industry standards, availability, reliability, accuracy, or fitness for purpose do not apply to Beta Features, to the maximum extent permitted by applicable law.
9.2 Without limiting the general disclaimers in the Terms, Parcel Perform disclaims all warranties and conditions relating to Beta Features, whether express, implied, or statutory, to the maximum extent permitted by applicable law.
10. Data and security
10.1 Beta Features may not meet the same security, compliance, reliability, or performance standards as generally available features.
10.2 Where Beta Features process Personal Data, the applicable data protection provisions and any Data Processing Agreement continue to apply. The Customer remains responsible for ensuring lawful use and appropriate safeguards.
11. Limitation of liability
11.1 To the maximum extent permitted by applicable law, the Customer’s sole and exclusive remedy in connection with Beta Features is to discontinue use of the Beta Features.
11.2 Parcel Perform shall not be liable for any damages arising out of or in connection with Beta Features, except to the extent such liability cannot be excluded under mandatory applicable law.
11.3 Aggregate cap. To the maximum extent permitted by applicable law, Parcel Perform’s total aggregate liability arising out of or in connection with Beta Features shall not exceed EUR 100 (or the equivalent of EUR 100 in the currency used under the applicable Terms or the relevant Order Form), except where liability cannot be limited under mandatory applicable law.
12. Indemnity
The Customer’s indemnity obligations stipulated in the Terms apply to the Customer’s use of Beta Features.
13. Confidentiality (Beta)
The existence, nature, performance, and results of Beta Features, including non-public documentation and evaluations, may constitute Confidential Information under the Terms and shall not be disclosed to third parties without Parcel Perform’s prior written consent.
14. Termination of Beta access
Parcel Perform may terminate, suspend, deny access to, or limit the Customer’s use of Beta Features at any time, with or without notice, and without liability, subject to mandatory law.
15. Governing Law and Jurisdiction
These Beta Terms form part of the Agreement. The governing law and jurisdiction provisions set out in the applicable Terms shall apply to these Beta Terms and any disputes arising out of or in connection with Beta Features.
